Terms of Service

2. Description of Services

Builts AI provides AI automation consulting and implementation services, including but not limited to: workflow analysis and strategy (Build Phase), automation system design, development, and deployment (Build Phase), and ongoing maintenance, support, and optimization (Maintenance Phase).

The specific scope of services for each client is defined in the applicable Master Service Agreement (MSA) or statement of work.

3. User Accounts

Certain features of our services may require you to create an account in the future. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Intellectual Property

All content, features, and functionality of the Builts AI website, including text, graphics, logos, icons, software, and design, are owned by Builts AI and protected by applicable intellectual property laws.

Client data and content remain the property of the client. Builts AI retains ownership of its proprietary tools, frameworks, methodologies, and pre-existing intellectual property used in delivering services.

5. Client Obligations

As a client or user, you agree to: provide accurate and complete information when engaging our services; use our services only for lawful purposes and in compliance with all applicable laws; not attempt to reverse engineer, decompile, or otherwise extract source code from our proprietary tools and systems; not use our services to build a competing product or service.

6. Payment Terms

Fees for our services are custom-quoted based on the scope and complexity of each project. Payment terms are specified in the applicable MSA or statement of work. Unless otherwise agreed, invoices are due within 15 days of issuance.

Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

7. Limitation of Liability

To the maximum extent permitted by law, Builts AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services.

Our total liability for any claim arising out of or related to these terms or our services shall not exceed the total fees paid by you to Builts AI in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Builts AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these terms, your use of our services, or your violation of any law or rights of a third party.

9. Termination

Either party may terminate the service relationship in accordance with the terms specified in the applicable MSA. Builts AI reserves the right to suspend or terminate access to its website at any time without notice for conduct that violates these terms or is harmful to other users or Builts AI.

Upon termination, provisions that by their nature should survive (including intellectual property, limitation of liability, and indemnification) shall remain in effect.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

11. Dispute Resolution

Any dispute arising out of or relating to these terms shall first be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario).

12. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms of Service, together with the applicable MSA and any other agreements referenced herein, constitute the entire agreement between you and Builts AI regarding the subject matter hereof and supersede all prior or contemporaneous communications, whether oral or written.
